Legal & Trust

Clarity First.
Terms of Service.

This document establishes the framework for our partnership. It's designed to be clear, fair, and protective for both visexa and every client who trusts us with their vision.

Foundation

These terms form the single source of truth governing every interaction, deliverable, and responsibility between visexa and its clients.

Protection

Built to safeguard intellectual property, define project boundaries, and ensure transparency in pricing, revisions, and timelines.

Commitment

Our promise is to deliver excellence. This document defines what "excellence" means in measurable, actionable terms for both parties.

Core Engagement Terms

1

Scope of Services & Deliverables

Visexa provides web design, development, and digital strategy services as detailed in the signed project proposal. The final deliverables are defined in the project brief and are considered "complete" upon the client's formal approval of the launch version. Minor adjustments are included; major scope changes require a separate Change Order agreement.

2

Intellectual Property & Rights Transfer

Upon full and final payment, the client receives a perpetual, non-exclusive license to all final deliverables created specifically for their project. Visexa retains the right to showcase work in its portfolio. Pre-existing code libraries, design assets, and tools remain the property of Visexa unless explicitly transferred via a separate agreement.

3

Payment, Timelines & Delays

Projects are billed on a milestone or monthly basis as outlined in the proposal. A 50% deposit is required to commence work. Any delays caused by client feedback or material provision beyond the agreed window may extend the timeline. Visexa is not liable for delays outside our control (e.g., third-party service outages).

Our Partnership Lens

How we evaluate project fit and manage expectations.

Success Criteria
  • Shared clarity on goals and technical scope from day one.
  • Timely, decisive feedback to maintain momentum.
  • Alignment on the balance between speed, quality, and budget.
Optimized For
  • Clients who value long-term digital assets over quick fixes.
  • Businesses ready to invest in a collaborative partnership.
  • Projects with defined boundaries and measurable outcomes.
What We Optimistically Avoid

To maintain quality, we may decline projects with unrealistic deadlines, undefined scopes ("make it look good"), or requests that compromise core principles (e.g., using outdated technology for long-term scalability). Our focus is on sustainable excellence, not volume.

Operational Reality

The assumptions and constraints that shape our agreements.

Core Assumptions

Our terms are built upon these foundational beliefs:

  • Clarity over complexity: A simple, well-scoped project is more successful than a complex, poorly defined one.
  • Partnership over vendor-client: The best results come from a collaborative mindset, not a transactional one.
  • Quality requires investment: Timelines and budgets are directly correlated to depth and polish.

Constraints & View Change

Key Constraints

We operate with limited capacity to ensure quality. Current lead times for new projects are typically 3-4 weeks. We cannot offer "spot availability" or sprint-based work for new clients without a prior relationship.

What Would Change Our View

Our approach is evidence-based. A significant, independently verified case study demonstrating a superior outcome from a radically different model (e.g., fixed-price for open-ended creative work) would prompt a re-evaluation. Until then, our model is grounded in industry standards and our direct experience.

Your Agreement

By engaging visexa's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms are subject to update, with notice provided via the contact email on file. The most current version always governs.
